What these terms cover. These are the terms and conditions which govern the basis on which you may register with us as a potential occupier of office space (Space Seeker) on allocated days each week (Space Timesharing) to you.
Why you should read them. Please read these terms carefully before you register as a Space Seeker. By registering as a Space Seeker, you agree that you have read, understood and consented to the terms and conditions set out below.
2. Information about us and how to contact us
Who we are. We are space32 LTD a company registered in England and Wales. Our company registration number is 12567562 and our registered office is at Verulam Point, Station Way, St Albans, Hertfordshire, United Kingdom, AL1 5HE.
How we may contact you. If we contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us when you registered.
3. Our Relationship
Space Providers. Space Providers are third parties who have registered with us to market their office space on a Space Timesharing basis (Space Providers) and for us to find and introduce to them potential occupiers of that space. We contract with and act as the Space Provider's agent.
Registering. By registering as a Space Seeker, you will be entered onto our platform of space seekers. In registering as a Space Seeker any requirements specified which are unreasonable or constitute discrimination will not be considered part of the search criteria. We reserve the right to refuse to accept any registration or to remove you as a registered Space Seeker at any time.
No guarantee. We cannot guarantee the suitability of a Space Provider introduced to you. You therefore accept and agree that we have no obligation in this regard. We also will not verify and cannot guarantee that any information provided by a Space Provider regarding their office space is accurate, complete or correct.
Contracts for office space with Space Providers. Any contract regarding the occupation of office space shall be entered into directly between you and the Space Provider (“Agreement”). These terms do not govern the contractual relationship between you and the Space Provider.
Payments. There is no charge to you for registering as a Space Seeker with us. Any payments under the Agreement (including any deposit, rents or fees) will be paid to us in our capacity as agent for the Space Provider. This shall not result in us being contractually liable in relation to the Agreement or liable for any of the Space Provider’s obligations under the Agreement.
Eligibility. In the event that you intend to enter into an Agreement in your personal capacity, you must be at least 18 years of age to register as a Space Seeker.
4. Your Data
Personal Data. By registering with us as a Space Seeker, you acknowledge that you will be required to provide us with various data and personal data (“your Data”). Your identity will only be shared with a Space Provider once you have indicated to us that you are interested in office space in order that a viewing of the office space can be arranged. If you decide to proceed with the office space full details will be provided to the Space Provider at the heads of terms/proposal stage. You acknowledge and agree that your Data will be shared with that Space Provider.
Data Controller. You acknowledge that for the purposes of these terms and you registering with us as a Space Seeker we will be treated as a data controller under the relevant UK data protection legislation (which includes the General Data Protection Regulation, the Data Protection Act 2018, the Privacy and Electronic Communications Directive and the Privacy and Electronic Communications Regulations 2003 as amended (“Data Protection Legislation”)) and we will at all times comply with our obligations under the Data Protection Legislation.
5. Cancellation of Registration
You can always cancel our Services. If for any reason you decide that you do not want to continue with your registration, you can cancel it on our website at https://www.space32.com or by contacting us directly at email@example.com.
6. Our rights to make changes
Minor changes to the Services. We may change the basis on which you are registered as a Space Seeker and/or any of these terms at any time including:
to reflect changes in relevant laws and regulatory requirements should they occur; and / or
to implement minor technical adjustments and improvements, for example to address a security threat.
7. Our liability
No duty of care. We do not and you agree that we do not owe you any duty of care in relation to your registration as a Space Seeker except in relation to your Data which will be dealt with in accordance with clause 5.
We are not liable for losses. We shall not be liable to you for any loss, injury, damage, expense or delay incurred or suffered by you arising directly or indirectly from or in any way connected with your registration as a Space Seeker, unless such loss, damage, costs or expenses are the direct result of our fraudulent or negligent acts or omissions. In particular, we will not be liable for any loss, injury, damage, expense or delay arising from, or in any way connected with:
any failure to match any Space Provider to your requirements;
any act or omission of a Space Provider, whether wilful, negligent, fraudulent, dishonest, reckless or otherwise;
any loss, injury, damage, expense or delay suffered by you as a result of you entering into an agreement with a Space Provider;
any loss of income or revenue sustained from not being able to find an appropriate Space Provider; or
the cost of paying any landlord or Space Provider for office space.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for:
death or personal injury caused by our negligence;
fraud or fraudulent misrepresentation; or
any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability.
8. Other important terms
We may transfer this Agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will contact you to let you know if we plan to do this.
You need our consent to transfer your rights to someone. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.
Nobody else has any rights under this contract. These terms are between you and us. No other person shall have any rights to enforce any of these terms.
If a court finds part of these terms illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
Even if we delay in enforcing any of these terms, we can still enforce them later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breach of these terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
Which laws apply to these terms and where you may bring legal proceedings. These terms are governed by English and Welsh law and you can bring legal proceedings in respect of your registration as a Space Seeker in the English and Welsh courts.
